The registered address is for correspondence and business registration only. We do not receive customers, hold stock, or carry out any transaction, collection or inspection there.

1. What this covers

This Agreement governs your use of Hi-Mars Techplace as a seller. It sits alongside our Terms and Conditions, which apply to you as a user of the site. Where the two conflict on a selling matter, this Agreement wins.

Registering a vendor account, listing a product, or accepting an order means you accept these terms.

2. Becoming a vendor

You must:

• be at least 18 and legally able to trade in Nigeria;
• register with accurate business details, including your real name or

registered business name and a reachable phone number;

• provide bank details in the name of the account holder for payouts;
• hold any licence or authorisation your goods require.

We may ask for identity or business verification before approving payouts, and we may decline or close an account without giving reasons.

3. Commission — read this before you set your prices

Hi-Mars charges commission on every completed sale.

Commission is between 5% and 10% depending on the category, and is confirmed on your vendor dashboard and on the Pricing page. We will give 30 days’ notice before any increase, and it will never apply to orders already placed.

How it is calculated

Commission is taken on the product price, excluding delivery. So on a ₦200,000 phone at 5%:

Customer pays          ₦200,000
Hi-Mars commission      ₦10,000   (5%)
Paid to you            ₦190,000

Build it into your price

This is the part vendors most often get wrong. If you need ₦200,000 for an item, listing it at ₦200,000 leaves you with ₦190,000. To actually receive ₦200,000 at 5% commission, list at:

your price ÷ (1 − commission)   =   200,000 ÷ 0.95   =   ₦210,527

Do bear in mind that a price built up this way still has to survive comparison with other sellers. Commission is a cost of selling here, not a licence to be the dearest listing on the page.

What commission does not cover

Payment processing (Paystack) is deducted separately at their published rate. Delivery is charged and settled per section 7.

4. Payouts

Funds from a sale are held until 24-72 hours after confirmed delivery, or until any dispute closes, whichever is later. This is what makes buying from a stranger on this platform safe, and it applies to every vendor without exception.

• Payout schedule: Twice weekly
• Minimum payout: ₦2000
• Payouts go only to the verified account on your vendor profile

We may withhold a payout where an order is disputed, where we suspect fraud, or where you owe us refunds or chargebacks. If we withhold, we will tell you why and what would release it.

5. Your listings

You warrant that:

• you have the legal right to sell everything you list;
• your listings are accurate as to condition, specification, origin and

completeness;

• your photographs show the actual item, or clearly say when a stock image

is used;

• your prices are the full price a customer pays, with no undisclosed fees;
• you hold the stock you list, or can obtain it within your stated dispatch

time.

You must not list counterfeit, stolen, recalled, or prohibited goods, and must not use another seller’s photographs without permission.

We may edit, remove or unpublish a listing without notice — most commonly where an image doesn’t match the item, or a brand or category is wrong. We will tell you when we do.

6. Dispatch

• Dispatch within the time stated on your listing, and within 1-3 days in any case.

• Mark orders dispatched on the platform, with a tracking reference where

the courier provides one.

• Package adequately. Transit damage from poor packaging is yours.

Repeated late dispatch or unfulfilled orders will lead to suspension. Cancelling because you mispriced an item is not an acceptable reason.

7. Delivery charges

Where Hi-Mars arranges delivery, the charge is shown to the customer at checkout and settled separately from your payout.

Free delivery promotions — including free delivery within Lagos on qualifying orders — are funded by shared. This one matters to your margin: settle it before you list.

8. Returns and refunds

You must honour the returns policy published on your store, and at minimum accept returns where an item is faulty, damaged, not as described, or dead on arrival.

Where a return is your fault — wrong item, misdescribed, faulty — you bear the return cost and the refund. Where a customer simply changed their mind and your policy allows it, your published terms decide who pays.

Refunds are deducted from your next payout, or invoiced if your balance won’t cover them.

9. Disputes

Disputes follow the process in section 12 of the Terms and Conditions. You agree to:

• respond to a dispute within 48 hours, matching the window in the Terms and Conditions;
• provide evidence when asked;
• accept our decision on the release of held funds.

Our decision binds the release of platform-held funds. It doesn’t remove either party’s right to pursue the matter independently or to complain to the FCCPC.

10. Fees other than commission

page, payable in advance and non-refundable once live

We will not introduce a new mandatory fee without 30 days’ notice.

11. Your data and your customers’

Customer details are provided to fulfil orders and nothing else. You must not add customers to marketing lists without their consent, pass their details to third parties, or contact them off-platform to complete a sale.

You are a data controller for the customer data you receive and must comply with the Nigeria Data Protection Act 2023.

12. Conduct

You must not:

• solicit buyers to transact outside the platform;
• manipulate reviews, whether your own or a competitor’s;
• operate multiple accounts to evade suspension or gain placement;
• list the same item repeatedly to occupy more of a category page;
• misuse the trade-in or swap features.

13. Suspension and termination

Either of us may end this Agreement with 14 days written notice.

We may suspend immediately for a serious breach — counterfeit goods, fraud, repeated non-fulfilment, or abuse of customers or staff. Funds from completed, undisputed orders are still paid out after the usual hold period.

On termination your listings come down. You remain responsible for orders already placed.

14. Liability

Nothing here excludes liability that cannot lawfully be excluded, including under the FCCPA 2018.

Subject to that, our total liability to you in connection with this Agreement is limited to the commission we have charged you in theOne months before the claim.

You indemnify us against claims arising from goods you sold, listings you published, or your breach of this Agreement.

15. Changes

We may update this Agreement. Material changes get 30 days’ notice by email or through your dashboard. Continuing to sell after that means you accept them.

16. Governing law

The laws of the Federal Republic of Nigeria, with the Nigerian courts having exclusive jurisdiction, without prejudice to section 9.
